Tesla and SpaceX Explore Merger; June Filings Show 30,221 Bitcoin Between Them
Independent committees are examining a possible combination. The Bitcoin connection is the companies’ existing holdings; a merger has not been agreed.

Elon Musk said on SpaceX’s 20 October earnings call that Tesla and SpaceX had formed committees of independent directors to discuss a possible merger. In the published call transcript, he said the committees had not agreed transaction terms and warned against assuming a deal would happen.
What Musk said about the process
Musk described himself as conflicted because of his interests in both companies and said he could not participate in the committees’ discussions. He identified potential cooperation in AI software, chip design, robotics and connectivity, but said a proposal would still need shareholder support.
Reuters reported on 22 October, citing people familiar with the talks, that structures under discussion included a SpaceX acquisition of Tesla or a new holding company. Those are reported options, rather than agreed terms. The companies and Musk did not respond to Reuters’ requests for comment.
Where the 30,221 BTC figure comes from
NetNapz checked both companies’ June-quarter SEC filings. SpaceX disclosed 18,712 bitcoin at 30 June 2026. Tesla disclosed 11,509 bitcoin at the same reporting date. Adding those balances gives 30,221 BTC.
That arithmetic describes previously disclosed holdings. It is not a new purchase, a verified live wallet balance, a completed transfer into one treasury or evidence of an agreed post-merger Bitcoin policy. Bitcoin itself is a decentralised network and asset, not a company being acquired in these discussions.
NetNapz assessment
Assessment: a completed transaction could change which corporate group controls the existing treasury assets. It would not, by itself, increase the number of bitcoin those companies own. Any market-demand conclusion requires separate evidence of purchases or a changed treasury mandate.
The next useful milestones are an agreed transaction, published consideration and ownership terms, formal shareholder materials, required approvals and closing. Until those exist, a combined Bitcoin treasury remains a conditional outcome. Holding BTC also gives no ownership interest in either company.
Checked 22 October 2026: the published earnings-call transcript, Reuters’ current merger-process reporting, and the companies’ June-quarter SEC filings. The 30,221 BTC total is calculated by NetNapz from those dated filings; it is not presented as a newly verified September or October balance. No live valuation or treasury ranking is asserted.
